Terms of Service
Terms of Service
Effective date: September 11, 2026
These terms apply to the UUIDE desktop app (macOS / Windows), mobile app (Android), optional online services and the www.uuide.com website. Please read them carefully, in particular the bolded parts and the disclaimers and limitation of liability; by downloading, installing or using UUIDE you agree to be bound by them.
This English version is provided for your convenience. In case of any discrepancy, the Chinese version prevails.
01Acceptance of Terms
By downloading, installing or using UUIDE (the "Software", or our products and services), you acknowledge that you have read, understood and agree to be bound by these terms. If you do not agree to any of them, stop using the app and delete it. You must have the legal capacity to enter into this agreement; if you use UUIDE on behalf of an entity, you represent that you are authorised to accept these terms on its behalf. These terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding your use of the products and services.
02Description of the Service
UUIDE follows a local-first architecture and consists of two parts:
- Local software: the document editor, project management, multimedia layout, PDF / image export and offline speech-to-text, running entirely on your device. The local capabilities do not depend on the network or on our servers — with no connection at all, creating, editing and exporting documents works in full, and your documents and data stay on your own device.
- Optional online services: account and real-time chat, official AI credits, the document publishing channel, skill and template distribution, and update or component downloads. These are provided to registered users on demand and activate only through your explicit actions; not registering or not using the online services does not limit any feature of the local software.
03Software Licence and Intellectual Property
Subject to your compliance with these terms, we grant you a non-exclusive, non-transferable, revocable licence to install and use the Software for personal or internal purposes. You may not copy, distribute, sell, rent, lease or sub-lease the Software, or use it to operate a commercial hosting service. The UUIDE software, website, trademarks, documentation and content are our intellectual property; all rights not expressly granted under these terms are reserved by us. Open-source components included in the Software are licensed under their respective open-source licences.
04Accounts and Security
Using the online services requires an account (email verification). Keep your credentials confidential; you are responsible for all activity under your account and shall notify us immediately of any unauthorised use. We may restrict or freeze accounts that are abnormal, in violation of these terms, or pose security risks. Account capabilities (such as upload and chat) are off by default and must be explicitly enabled as described in the Privacy Policy.
05Use of AI Services
- Your own provider: you may configure any OpenAI-compatible AI provider (bring your own API key). Such requests go directly from your device to the provider you configure and are not relayed by us; you must comply with that provider's terms, and the associated costs and compliance responsibilities are yours.
- Official free quota: claimed with an account, for your own normal use only — no reselling or commercial arbitrage at scale.
- Nature of output: content produced by AI features is generated by machine-learning models and may be incorrect, outdated or inaccurate; it is for reference only. Verify important information yourself (including facts, data, and legal or medical content) — you are responsible for what you ultimately adopt.
06Skills and Template Library
Skill packs, toolkits and document templates (the "Library Content") are provided through our distribution channels and include third-party or community-contributed material. Unless otherwise required by law, Library Content is provided "as is"; before installing or using it you should assess its suitability, accuracy and safety, and confirm licensing and compliance before commercial use. The specific licence for Library Content is governed by the licence notice accompanying it.
07User Content
Documents, media and other content you create or import in UUIDE ("User Content") belong to you. User Content stored on your device cannot be — and need not be — accessed by us. Except as necessary to provide features you explicitly request (such as message delivery, AI generation, or uploads and publishing you initiate), we do not access, use or distribute User Content. When you actively publish content via publishing features, you grant us the limited permissions necessary solely to store and transmit it and to produce access links. You must hold the necessary rights to what you publish and ensure it is lawful.
08Acceptable Use
When using UUIDE you must not:
- violate applicable laws or infringe the rights of others (including intellectual property and personal information rights);
- use AI or the online services to generate or distribute illegal, infringing, harassing or fraudulent content;
- send spam, conduct automated abuse or malicious registrations, or attack, interfere with or place excessive load on the services;
- reverse engineer or circumvent technical protection measures, or attempt to compromise the security or stability of the services (except as expressly permitted by law);
- resell the free quota of the official AI endpoint at scale.
09Changes, Suspension and Termination of Online Services
Online services may be adjusted, suspended or discontinued as the product evolves, with advance notice whenever possible. We may warn, restrict or terminate service for conduct that violates these terms. The local software does not depend on the availability of the online services; whatever happens to them, the documents and data on your device remain intact and under your control.
10Disclaimers
The Software and the online services are provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the online services will be uninterrupted or error-free, nor that AI output is accurate or complete; the quality and availability of any third-party provider you configure remain that provider's responsibility.
11Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages arising from use of or inability to use the Software or services (including data loss, loss of profit or loss of goodwill), and our aggregate liability to you may not exceed the amount you actually paid for the relevant service in the past twelve months (zero for free services). Liability that cannot be excluded or limited under mandatory law is unaffected by this section. Keep backups of important documents.
12Governing Law and Dispute Resolution
These terms are governed by the laws of the People's Republic of China. Disputes arising from these terms or from use of the products and services shall first be resolved through friendly negotiation; failing that, either party may bring proceedings before the people's court with jurisdiction at our domicile.
13Force Majeure
We are not liable for interruption, delay or failure to perform caused by unforeseeable, unavoidable and insurmountable events, including but not limited to natural disasters, war, strikes, riots, epidemics, government actions, changes in laws or regulations, cyberattacks, and failures of public telecommunications or power infrastructure. We will use reasonable efforts to mitigate the impact and inform you promptly. This section does not excuse obligations whose obstacles arise purely from a party's own fault.
14Severability and Waiver
If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in effect, and the parties shall substitute a valid provision that reflects the original intent as closely as possible. Our failure or delay in exercising any right under these terms does not waive that right or any future exercise of it.
15Language
These terms are available in Chinese and English. The English version is provided for convenience of reading; in the event of any ambiguity or inconsistency between the two versions, the Chinese version prevails.
16Contact and Updates to These Terms
We may update these terms from time to time and will publish updates on this page with a revised effective date; material changes will be announced through the website or in-app notices. Continued use after publication constitutes acceptance of the updated terms. Questions or disputes: support@uuide.com.
